1. About Us

These Terms & Conditions govern your engagement with AIX Lab Group Pty Ltd (ABN 42 697 467 146, ACN 697 467 146), a company registered in Australia providing AI strategy, implementation, and consulting services ("AIX Lab", "we", "us", "our").

2. Services

AIX Lab provides AI consulting, implementation, training, and advisory services as agreed in individual engagement proposals or statements of work. The scope, deliverables, timeline, and fees for each engagement are set out in the relevant proposal accepted by both parties.

3. Engagement & Payment

All engagements commence upon written acceptance of a proposal or statement of work. Payment terms are specified in each proposal. Invoices are due within 14 days of issue unless otherwise agreed. Late payments may attract interest at 2% per month.

4. Intellectual Property

Upon full payment, all deliverables, systems, and materials created specifically for your business become your property. AIX Lab retains ownership of its pre-existing methodologies, frameworks, tools, and know-how. We may reference the engagement for portfolio and marketing purposes unless you request otherwise in writing.

5. Confidentiality

Both parties agree to keep confidential any proprietary business information disclosed during the engagement. This obligation survives termination of the engagement for a period of two years.

6. Limitation of Liability

To the maximum extent permitted by law, AIX Lab's total liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental losses.

7. Termination

Either party may terminate an engagement with 30 days written notice. You remain liable for fees for work completed up to the termination date. Project-based engagements are non-refundable once work has commenced unless otherwise agreed.

8. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
